2. Welcome to Backseat AI, accessible at https://backseat.gg/ ("Website"), a pioneering third-party companion app developed on the Overwolf platform designed to enhance your gaming experience. These Terms and Conditions ("Terms") govern your access to and use of the Backseat AI services, including our app hosted on Overwolf (collectively, "Services"), and are binding between you and Gamers Net, the entity operating Backseat AI. By accessing or using the Services, you agree to be bound by these Terms in their entirety.

4. To utilize the Services provided by Backseat AI, users must register and provide complete, true, and accurate information. Users must comply with the terms and conditions and policies of both Overwolf and Riot Games. Users are responsible for maintaining the confidentiality of their account information and for all activities under their account.
5. Content and User Content
   
   1. Definitions: For the purposes of these Terms, "Content" encompasses texts, graphics, images, music, software, audio, video, works of authorship, gaming experience data, and other materials provided through the Services. "User Content" refers to any Content provided or made available by users through the Services.
   2. Content Ownership, Responsibility, and Removal: Backseat AI claims no ownership rights over User Content. Users retain any rights to use and exploit their User Content. Backseat AI and its licensors hold all rights, titles, and interests in the Services and Content, excluding User Content. Users agree not to infringe on copyrights or trademarks within the Services or Content.
   3. Rights in User Content Granted by You: By providing User Content through the Services, you grant Backseat AI a worldwide, royalty-free license to use, modify, and distribute your User Content in connection to operating the Services. You warrant that you own or have the necessary rights to your User Content, ensuring no infringement or violation of laws.
   4. Highlights: Using certain features may involve the creation of gameplay footage ("Highlights"). By opting into such features, you grant Backseat AI a license to use the recorded Highlights for service enhancement, marketing, and development.
   5. Rights in Content Granted by Gamers Net: Gamers Net grants you a personal, non-commercial license to access and use the Content in accordance with these Terms.
6. Subscription Terms
   
7. Upon subscribing to the Services, users will be automatically charged the applicable fee monthly from the date of initial payment. Users may cancel their subscription at any time, with access to subscription benefits until the end of the billing month. Backseat AI reserves the right to modify or amend subscription plans and prices. Any price changes will be communicated in advance, and continued use of the Services after price adjustments constitutes acceptance of the new terms.
8. Termination of Service

Backseat AI reserves the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Specifically, termination for cause may occur in instances of abuse of the product, its services, promotions, or offerings, or in cases of fraud. Upon termination, your right to use the Services will cease immediately. Backseat AI may also discontinue providing the Services at any time for any reason with or without notice. In the event of such termination, the provisions of these Terms that by their nature should survive termination shall remain in effect, including, but not limited to, ownership provisions, warranty disclaimers, and limitations of liability.
10. Limitation of Liability and Disclaimers

Backseat AI and its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose. Backseat AI does not warrant the accuracy, completeness, or usefulness of any information provided on the Services and under no circumstances will Backseat AI be responsible for any loss or damage resulting from reliance on information or other content posted on the Services.
12. Dispute Resolution

Any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. You agree to the exclusive jurisdiction and venue of the courts located in Singapore for any legal proceedings related to these Terms or the Services. Before filing a claim against Backseat AI, you agree to try to resolve the dispute informally by contacting support@backseat.gg. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Backseat AI may bring a formal proceeding.
